1. Acceptance of Terms

By accessing or using Statute ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms apply to all users, including beta testers. Beta testers are subject to additional terms outlined in Section 6.

2. Description of Service

Statute is a decision-filtering system for iOS that helps users:

  • Capture thoughts with structured metadata
  • Review thought patterns over time
  • Build rules and constraints for decision-making
  • Track predictions and improve calibration

The App is provided "as-is" during beta testing and may contain bugs or incomplete features.

3. User Accounts

3.1 Account Creation

  • You must sign in with Apple to use premium features
  • You must be at least 13 years old to create an account
  • You are responsible for maintaining the security of your account

3.2 Account Termination

  • You may delete your account at any time via Settings → Delete All Data
  • We may suspend or terminate your account for violations of these Terms
  • Upon termination, your data will be deleted (except as required by law)

4. User Content and Data

4.1 Your Content

  • You retain ownership of all content you create in the App (thoughts, rules, etc.)
  • You grant us a limited license to store and process your content solely to provide the service
  • We do not claim ownership of your content

4.2 Data Deletion

  • You can delete all your data at any time via the App
  • Deleted data cannot be recovered
  • Some data may be retained in backups for up to 30 days

4.3 Prohibited Content

You may not use the App to store or transmit:

  • Illegal content
  • Content that violates intellectual property rights
  • Malicious code or viruses
  • Content that harasses or harms others

5. Premium Features and Subscriptions

5.1 Subscription Terms

  • Premium features require a paid subscription
  • Subscriptions are billed monthly or annually
  • Subscriptions auto-renew unless cancelled
  • You can cancel at any time via iOS Settings → Subscriptions

5.2 Pricing

  • Pricing is displayed at time of purchase
  • Prices may change with 30 days' notice
  • Price changes do not affect existing subscriptions until renewal

5.3 Refunds

  • Refunds are handled by Apple per their refund policy
  • Contact Apple Support for refund requests
  • We cannot process refunds directly

5.4 Free Tier

  • Free tier includes: Unlimited thought capture, weekly reviews
  • Free tier features may change at any time

6. Beta Testing Terms

6.1 Beta Program

  • Statute is currently in private beta via TestFlight
  • Beta access is invitation-only and limited
  • Beta builds are for testing purposes only

6.2 Beta Tester Responsibilities

  • Provide feedback on bugs and issues
  • Do not share beta builds with others
  • Do not publicly disclose confidential features or information
  • Understand that beta features may change or be removed

6.3 Beta Data

  • Beta data is subject to deletion or corruption
  • We are not liable for loss of beta data
  • Export your data regularly if it's important to you

6.4 Beta Termination

  • We may terminate the beta program at any time
  • Beta testers will be notified of transition to production
  • Beta testers receive no guarantee of continued access

7. Intellectual Property

7.1 Our IP

  • Statute, its design, code, and content are owned by us
  • "Statute" name and logo are our trademarks
  • You may not copy, modify, or redistribute the App

7.2 Your License

  • We grant you a limited, non-exclusive, non-transferable license to use the App
  • This license terminates when you stop using the App or violate these Terms

8. Disclaimers and Limitations of Liability

8.1 Disclaimer of Warranties

THE APP IS PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The App will be error-free or uninterrupted
  • Defects will be corrected
  • The App is free of viruses or harmful components
  • Results from use will be accurate or reliable

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Damages arising from use or inability to use the App
  • Any damages exceeding the amount paid by you in the past 12 months (or $100 if no payments made)

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

8.3 Not Professional Advice

Statute is a tool for personal decision-making. It is NOT:

  • Professional medical, psychological, or therapeutic advice
  • Financial, legal, or investment advice
  • A substitute for professional consultation

Consult appropriate professionals for advice on important decisions.

9. Indemnification

You agree to indemnify, defend, and hold harmless Statute, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or data

10. Governing Law and Disputes

10.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

10.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through:

  1. Good faith negotiation between parties
  2. Binding arbitration (if negotiation fails)
  3. Arbitration conducted under rules of the American Arbitration Association

10.3 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action or representative proceeding.

10.4 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms on this page
  • Updating the "Last Updated" date
  • Sending an email notification (for significant changes)

Your continued use after changes constitutes acceptance. If you do not agree to changes, stop using the App.

12. Termination

12.1 Termination by You

  • You may stop using the App at any time
  • Delete your account via Settings → Delete All Data

12.2 Termination by Us

We may suspend or terminate your access if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Abuse the service or harm other users
  • Do not pay subscription fees

12.3 Effect of Termination

  • Your license to use the App ends
  • Your data will be deleted (except as required by law)
  • Subscription fees are non-refundable upon termination for violations

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Statute.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

13.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

13.4 Assignment

You may not assign these Terms. We may assign these Terms without notice.

13.5 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control.
